Article 1 (Purpose of these Terms and Conditions)

The purpose of this Agreement is to set forth the terms and conditions under which customers who use the Shirotori WellPharma Health Food Online Shop (hereinafter referred to as “the Shop”) provided by Shirotori WellPharma Co. The purpose of this agreement is to set forth the terms and conditions under which customers who use Shirotori Welfarma Health Food Online Shop (hereinafter referred to as “our shop”) may register as members based on this agreement and use our services for members.

Article 2 (Member Registration)

1. A “member” is defined as a person who has accepted all of the terms and conditions of this Agreement, wishes to register as a member, and has entered the personal information specified by us via the member registration page within our store, and has been approved by us and given a member ID and password. 
2. In principle, registration by a person other than the applicant himself/herself is not permitted.
3. Members must reside in Japan to register as members.  
4. The company reserves the right to refuse membership applications from individuals whose memberships have been revoked in the past or from other individuals whom the company deems inappropriate. 
5. There is no registration or maintenance fee.

Article 3 (ID and Password Management)

1. The company shall issue IDs and passwords to registered members, which are required for use of member services. 
2. Members shall manage and store their IDs and passwords at their own risk. 
3. Members shall not transfer, lend, disclose, or divulge their IDs and passwords to third parties.
4. Members shall be responsible for any disadvantage, damage, falsification, etc. caused by negligence in the use of their IDs and passwords or by the use of a third party, and the company shall not be held liable for any such disadvantage, damage, falsification, etc.. 

The company shall not be held liable for any loss, damage, falsification, etc. due to the use of a member's ID or password by a third party. 

1. Members shall immediately notify the company of any unauthorized use of their ID and password by a third party.

Article 4 (Change of Registration) (Purpose of this Agreement)

If a member's name, address, or telephone number registered as a member changes, the member shall promptly make the change through the members-only page in the store, by telephone, or in writing.

Article 5 (Cancellation of Member Registration)

If a member falls under any of the following items, the company shall terminate the member's membership. 

(i) In the event that a member makes a false declaration.

(ii) In the event of multiple instances of nonpayment of fees or refusal to receive ordered products

(iii) If there is a violation of the Terms of Use, such as when a purchase for profit or resale is discovered 

(iv) When it is discovered that there has been a violation of these Terms of Use in the past

(v) In any other case where the company deems the member to be inappropriate as a member.

Article 6 (Withdrawal from membership)

Members who wish to cancel their membership shall contact the company via the members-only page of the store, by telephone, or in writing, and the company shall promptly complete the cancellation procedures upon receipt of such contact. In addition, if a member is receiving newsletters, mail magazines, etc., it may take a certain period of time for the company to stop sending such newsletters, mail magazines, etc. to the member. If there is nonpayment of fees to the company, the member may not cancel membership until the company completes the settlement procedure for the nonpayment of the relevant fees.

Article 7 (Handling of Member Information)

Personal information registered by members will be used only within the scope of the purposes of use announced in advance by the company in each medium, such as mail order and various services, in accordance with the privacy policy.

Article 8 (Modification of Terms and Conditions)

1. The company may change the Terms of Use without prior consent of members. 2. 
2. Any changes to the Terms and Conditions shall be deemed to have been notified to members by posting the details of the changes and the effective date of the revised Terms and Conditions on the members-only page of the store, and shall take effect from the effective date of the revised Terms and Conditions. 
3. After the effective date of the changes, only the changed Terms of Use shall be effective.

Article 9 (Prohibited Items)

Members are prohibited from committing any of the following acts when using our store. In the unlikely event that any of the following should occur, the member in question shall forfeit their membership without prior notice from the company. 

In addition, if any damage is caused to the company or a third party as a result of these actions, the member shall be held responsible for compensation for all such damage.

(i) Applying for false registration information.

(ii) Unauthorized use of another member's ID and password 

(iii) Acts that violate laws and regulations, such as unauthorized use of another person's personal information or credit card, or acts that lead to or may lead to fraud or other crimes.

(iv) Acts that infringe on copyrights, other intellectual property rights, privacy, or portrait rights. 

(v) Uploading or sending by e-mail, etc. computer viruses, etc. designed to interfere with, destroy, or limit the functions of computer software, hardware, or telecommunications equipment. 

(vi) Acts that interfere with the operation of our store 

(vii) Using our store for the purpose of profit or resale 

(viii) Any other acts that we deem inappropriate.

Article 10 (Disclaimer)

1. We do not guarantee the completeness, accuracy, certainty, or usefulness of the information and services we provide to our members.
2. Our services may be suspended without prior notice to members in the event that we deem it necessary to perform emergency maintenance or system shutdowns due to unavoidable circumstances such as stable operations or natural disasters.
3. We shall not be liable for any damages incurred by users due to changes, delays, or stoppages of our systems and services. In addition, we shall not be liable for any damages caused by inadequacies in the member's usage environment, network connection conditions, or operating procedures. 
4. Please note that the contents, products, prices, and specifications of our store are subject to change without prior notice.
5. We assume no responsibility for the contents of other websites linked to ours without our permission.

Article 11 (Intellectual Property Rights, etc.)

1. All intellectual property rights and portrait rights, including copyrights and trademark rights, related to information (including design, images, video, audio, text, etc.) provided by the company to its members belong to the company and third parties who have provided such information to the company. 
2. Members shall not reproduce or otherwise use the information in the preceding paragraph or information obtained through our services beyond the scope of personal use by individual members, regardless of the method, without the prior written consent of the company or the rights holder of the information in question.

Article 12 (Others)

1. Accidents (delay, damage, loss) after shipment of products ordered at our store will be handled in accordance with the terms and conditions stipulated by each shipping company. 2. In the event that a problem arises that cannot be resolved by this agreement, the matter shall be discussed in good faith between our store and the member, and a resolution shall be reached. 
2. This agreement is governed by the laws of Japan. These terms and conditions shall be presented and interpreted in Japanese only. 
3. In the event that a lawsuit becomes necessary in relation to the use of our store, the Chiba District Court shall be the court of jurisdiction.
